These Terms of Service govern your use of ConversaDocs' AI solutions, including VICI and TrAiCE platform services.

1. Acceptance of Terms

By accessing or using ConversaDocs services, including our VICI (Virtually Intelligent Chat Interface) and TrAiCE (True AI Computing Environment) platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms apply to all users of our services, including visitors to our website, trial users, and paying customers. Additional terms may apply to specific services or enterprise agreements.

2. Description of Services

VICI (Virtually Intelligent Chat Interface)

VICI is our conversational AI interface that integrates with various communication platforms including Microsoft Teams, Slack, SMS, email, and web interfaces. VICI provides intelligent conversation capabilities powered by our TrAiCE platform.

TrAiCE (True AI Computing Environment)

TrAiCE is our underlying AI platform featuring microservice architecture, Bayesian inference orchestration, and dynamic function coordination. TrAiCE powers VICI and provides the intelligent capabilities behind our AI solutions.

3. User Accounts and Registration

  • You agree to notify us immediately of any unauthorized use of your account

Organization Accounts

For enterprise or organizational accounts, the account administrator is responsible for managing user access, ensuring compliance with these Terms, and maintaining appropriate usage policies within their organization.

4. Acceptable Use Policy

Permitted Uses

You may use our services for legitimate business purposes, including:

  • Business communication and workflow automation
  • Document analysis and information retrieval
  • Task coordination and project management
  • Customer service and support enhancement
  • Business intelligence and analytics

Prohibited Uses

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, offensive, or inappropriate content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or attempt to extract our proprietary algorithms
  • Use our services to compete directly with ConversaDocs
  • Generate spam, fraudulent content, or misleading information
  • Violate intellectual property rights of any party
  • Attempt to manipulate or game our AI systems for malicious purposes

Content Standards

All content processed through our services must comply with applicable laws and regulations. You are responsible for ensuring that your use of VICI and TrAiCE complies with your organization's policies and any regulatory requirements applicable to your industry.

5. Data and Privacy

Your Data

You retain ownership of all data, content, and information you provide to or generate through our services. We process your data in accordance with our Privacy Policy and applicable data protection laws.

Data Processing

  • We process your data solely to provide and improve our services
  • For enterprise deployments, data processing occurs within your specified environment
  • Air-gapped deployments ensure your data never leaves your controlled network
  • We implement appropriate technical and organizational measures to protect your data

Data Security

We maintain industry-standard security measures including encryption, access controls, and regular security audits. However, no system is completely secure, and you acknowledge the inherent risks in electronic data transmission.

6. Intellectual Property Rights

ConversaDocs' Intellectual Property

Our services, including VICI, TrAiCE, underlying technology, algorithms, and software, are protected by intellectual property laws. We retain all rights, title, and interest in our proprietary technology.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use our services for their intended purpose during your subscription period.

User Content

You grant us a limited license to use, process, and analyze your content solely for the purpose of providing our services and improving our AI capabilities. This license terminates when you delete your content or terminate your account.

Feedback and Suggestions

Any feedback, suggestions, or ideas you provide regarding our services may be used by ConversaDocs without compensation or attribution, unless otherwise agreed in writing.

7. Payment Terms and Billing

Subscription Services

Our services are typically provided on a subscription basis. Pricing, billing cycles, and payment terms are specified in your service agreement or order form.

Payment Obligations

  • Fees are due in advance for each billing period
  • All fees are non-refundable unless otherwise specified
  • You are responsible for applicable taxes
  • Late payments may result in service suspension

Price Changes

We may change our pricing with at least 30 days' notice. Price changes will not affect your current billing period but will apply to subsequent renewals.

8. Service Level and Availability

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. Our target uptime and any service level agreements are specified in your service contract.

Maintenance and Updates

We may perform scheduled maintenance or deploy updates to improve our services. We will provide reasonable notice for planned maintenance that may affect service availability.

Support Services

Support services are provided according to your service plan. Enterprise customers may have dedicated support channels and enhanced service level agreements.

9. Limitation of Liability

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, ConversaDocs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Maximum Liability

Our total liability for any claims arising from or relating to these Terms or our services shall not exceed the amount you paid to ConversaDocs in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ConversaDocs and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these Terms, or infringement of any rights of third parties.

11. Termination

Termination by You

You may terminate your account at any time by providing written notice. Upon termination, your access to our services will cease at the end of your current billing period.

Termination by ConversaDocs

We may suspend or terminate your access to our services immediately if you violate these Terms, fail to pay fees, or if we reasonably believe termination is necessary to protect our systems or other users.

Effect of Termination

  • Your license to use our services immediately terminates
  • We will cease processing your data except as required by law
  • You remain responsible for any outstanding fees
  • Data export assistance may be available according to your service agreement

12. Dispute Resolution

Governing Law

Dispute Resolution Process

Your continued use of our services after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of our services.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and ConversaDocs regarding our services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, or network failures.
